Services Agreement

This Client Service Agreement (“Agreement”) is made between AMLTRAC Pty Ltd (“AMLTRAC”) and the client engaging our services (“Client”).

1. Services Provided

AMLTRAC will provide professional consulting and advisory services as agreed upon in written scope documents, including:

1. • AML/CTF audit readiness

   • SOC 1/SOC 2 preparation

   • Compliance strategy

   • AI strategy implementation

   • Internal reviews and transformation

   • All services are provided based on a collaborative, best-practice approach. AMLTRAC is not an independent auditor or legal advisor.

2. Fees and Invoicing

   • Fees are outlined in separate engagement letters or quotes. All payments are due within 14 days of invoice unless otherwise agreed. AMLTRAC reserves the right to pause services in the event of non-payment.

   • Notify AMLTRAC of any known or potential compliance risks

4. Confidentiality

   • All information shared between AMLTRAC and the Client is confidential. Neither party will disclose confidential information to third parties without written consent, unless required by law.

5. Limitation of Liability

   • To the maximum extent permitted by law, AMLTRAC is not liable for any indirect or consequential loss. Our liability is limited to the amount paid by the Client for the relevant services.

6. Termination

   • Either party may terminate this agreement with 14 days’ written notice. AMLTRAC may terminate immediately if the Client breaches this agreement or becomes insolvent.

7. Intellectual Property

   • All materials developed or provided by AMLTRAC remain our intellectual property, unless otherwise agreed. The Client may use deliverables internally but may not resell, distribute, or copy them.

8. Governing Law

   • This Agreement is governed by the laws of Victoria, Australia.

9. Dispute Resolution

   • The parties will attempt to resolve disputes amicably. If unresolved, disputes may be escalated to mediation in Melbourne, Victoria.
